Terms of Service
Coffee Date Media, LLC  |  Chai AI Assistant
Last updated: September 2026  |  Questions: support@donatawhite.com

These Terms of Service ("Terms") are an agreement between you and Coffee Date Media, LLC, a North Carolina limited liability company ("Coffee Date Media," "we," "us," or "our"), about your use of Chai, including the Chai web app at chai.donatawhite.com, the Chai Telegram bot, and the emails and messages Chai sends you (together, the "Service").

By creating an account, checking the box at checkout, or using the Service, you agree to these Terms and to our Privacy Policy at chai.donatawhite.com/privacy. If you do not agree, do not use the Service.

Please read section 5 (Subscriptions and automatic renewal) and section 16 (Disputes) carefully. Section 5 explains that your subscription renews and charges your payment method automatically until you cancel. You may cancel at any time.

1. Who may use Chai

1.1  You must be at least 18 years old and able to form a binding contract to use the Service.

1.2  Chai is offered for use in running your business, and for your personal and household organization alongside it. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization.

2. What Chai is

2.1  An AI assistant. Chai is an artificial intelligence assistant. It can capture tasks from your messages and voice notes, read and update your Google Calendar and Google Tasks when you connect them, send you briefings, reminders and check-ins, hold longer strategy conversations, create documents in your Google Drive, help coordinate a household with a partner you invite, and build a Messaging DNA document for your business. Features may vary by plan and may change over time (see section 12).

2.2  Chai can make mistakes. Chai's responses are generated by artificial intelligence. They may be inaccurate, incomplete, out of date, or not suited to your situation, and Chai can misunderstand an instruction. You are responsible for reviewing anything Chai produces before you rely on it, and for checking calendar entries, tasks, reminders, and documents that matter to you.

2.3  Not professional advice. Chai does not provide legal, financial, tax, accounting, medical, mental health, or other professional advice, and nothing it says creates a professional relationship of any kind. Business and marketing strategy offered through Chai is general information for you to evaluate. For decisions that need professional judgment, consult a qualified professional.

2.4  Chai acts on your instructions. When you ask Chai to add, move, change, or delete a calendar event, task, reminder, or other item, it will try to do so. You are responsible for the instructions you give and for the accounts you connect.

2.5  Chai contacts you. Chai sends messages you have set up or that are part of the Service, such as your morning brief, reminders, check-ins, and reminders about your membership. It sends them through Telegram if you have connected it, and otherwise by email. You can change most of these in Settings.

3. Your account

3.1  You need an account to use the Service. You agree to give accurate information and to keep it current.

3.2  You are responsible for keeping your password and sign-in links private and for everything that happens under your account. Tell us promptly at support@donatawhite.com if you believe your account has been used without your permission.

3.3  One account is for one person. You may not share your account or sell, transfer, or sublicense access to it. A partner you invite to a household gets their own account under the household features.

3.4  Telegram is optional. If you connect Telegram, your use of Telegram is also governed by Telegram's own terms.

4. Plans and prices

4.1  Plans. Chai is offered as a monthly subscription and an annual subscription. The plans and prices available are shown at chai.donatawhite.com and at checkout.

4.2  Pricing. Plans and prices are shown at checkout. If you subscribe at a founder's or other promotional price, that price stays the same for as long as your subscription continues without ending. If your subscription ends and you later subscribe again, the price in effect at the time of re-subscription applies.

4.3  Taxes. Prices do not include sales tax or similar taxes. Where we are required to collect tax, it will be added to your charges.

4.4  Price changes. We may change the price of a plan. For an existing subscription, we will give you at least 30 days' notice by email before a new price applies, and the new price will apply from the first renewal after the notice period. You may cancel before then to avoid the new price. A price locked under section 4.2 is not affected by price changes while your subscription continues.

5. Subscriptions and automatic renewal

5.1  Your subscription renews automatically. When you subscribe, you authorize us, through our payment processor Stripe, to charge the payment method you provide in accordance with the prices and payment intervals listed at checkout, plus any applicable tax, until you cancel. Charges are made at the start of each billing period, on or about the same day of the month (or year) that you subscribed.

5.2  Payment method. You must keep a valid payment method on file. You can update it at any time from the Account page. Card and payment details are collected and stored by Stripe, not by us.

5.3  Failed payments. If a charge fails, Stripe will try again over a period of three days, and we may remind you to update your payment method. Your access continues during that period. If payment still has not been made at the end of it, your subscription ends and section 13 applies.

5.4  Changing plans. You may switch between the monthly and annual plan from the Account page. A switch to the annual plan takes effect immediately and you are charged the annual price, less a credit for the unused part of your current month. A switch from the annual plan to the monthly plan takes effect at your next renewal date: you keep your annual access until then, the monthly price applies from that date, and no part of the annual payment is refunded. If you subscribed at a founder's or promotional price, switching plans keeps you on that pricing.

5.5  Reminders. We will send you the notices required by law before a renewal charge, including before any change in price.

6. Cancelling and refunds

6.1  How to cancel. You can cancel at any time from the Account page in the Chai web app. You can also cancel by emailing support@donatawhite.com from the email address on your account. When you cancel, we will confirm by email.

6.2  What cancelling does. Your subscription will not renew, and no further charges will be made. You keep access to the Service until the end of the billing period you have already paid for (the current month or the current year), and then your membership ends and section 13 applies.

6.3  Refunds. Payments are non-refundable, including for partial billing periods and for any introductory or promotional pricing, except where the law requires a refund. We may issue other refunds or credits at our discretion; doing so once does not oblige us to do so again.

6.4  Contact us first. If you believe you were charged in error, please contact support@donatawhite.com before disputing the charge with your bank, so we can resolve it.

7. The Residence

7.1  Members of The Residence, which is sold separately, receive access to Chai as part of their Residence membership. For those members, billing, renewal, and cancellation are governed by the terms of The Residence, and Chai access continues while the Residence membership is active. In every other respect, these Terms apply to their use of Chai.

7.2  Because Chai is included in The Residence, a Residence member should not be able to also buy a separate Chai subscription. If that happens, contact us and we will refund the separate subscription.

8. Acceptable use

You agree not to:

(a) use the Service for anything unlawful, harmful, fraudulent, or deceptive, or to harass, threaten, or harm anyone;

(b) use the Service to send spam or unsolicited messages;

(c) upload or send content that you do not have the right to use or share, or that infringes anyone's intellectual property, privacy, or other rights;

(d) attempt to gain unauthorized access to the Service, other accounts, or our systems, or to interfere with, disrupt, or overload the Service;

(e) copy, reverse engineer, decompile, or attempt to extract the source code, prompts, or underlying models of the Service, except where the law does not allow this restriction;

(f) use the Service, or anything it produces, to build or train a competing product or service;

(g) resell, sublicense, or provide the Service to anyone else; or

(h) use automated means to access the Service other than through the features we provide.

We may set reasonable limits on use, such as the number of AI responses in a period, to keep the Service reliable for everyone.

9. Your content

9.1  You own your content. "Your Content" means what you send or upload to the Service (including messages, voice notes, documents, photos, and information about your business and household) and what the Service produces for you (including documents, plans, task lists, and your Messaging DNA document). As between you and us, you own Your Content.

9.2  What you allow us to do with it. You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, and display Your Content only as needed to provide, maintain, secure, and support the Service for you, and as described in our Privacy Policy. This licence ends when Your Content is deleted under section 13, except for copies we are required to keep by law.

9.3  Service providers. To provide the Service, Your Content is processed by service providers acting for us, including Anthropic, Google (voice transcription, and your own Google Calendar, Tasks, and Drive when you connect them), and ElevenLabs (Chai's voice). Our Privacy Policy lists them and explains how your information is handled. We do not use Your Content to train artificial intelligence models, and we do not permit our AI provider to do so.

9.4  Google data. Chai's use of information received from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements, as described in our Privacy Policy.

9.5  Your responsibility. You are responsible for Your Content and confirm that you have the rights needed to share it with the Service.

10. Our intellectual property

The Service, including its software, design, text, and the Chai name, logo, and character, is owned by Coffee Date Media, LLC or its licensors and is protected by law. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service for yourself under these Terms while your membership is active. We reserve all rights not expressly granted. If you send us feedback or suggestions, we may use them without any obligation to you.

11. Third-party services

The Service works with services we do not control, including Google, Telegram, Stripe, Kajabi, Anthropic, and ElevenLabs. Your use of your own accounts with those services is governed by their terms. We are not responsible for those services, and their outages, changes, or decisions can affect what Chai is able to do.

12. Changes to the Service

We are continually improving Chai and may add, change, or remove features. If we remove a feature that is a material part of what you paid for, we will tell you in advance where practical. Some features may be offered as previews; they are provided as is and may change or stop.

13. When your membership ends

13.1  Ending by you. You can cancel under section 6.

13.2  Ending by us. We may suspend or end your access if you materially breach these Terms, if we are required to by law, or if we stop offering the Service. Where reasonable, we will tell you first and give you a chance to fix the problem. If we stop offering the Service entirely, we will refund the unused part of any prepaid period.

13.3  Your data after your membership ends. When your membership ends, your access stops. Your account and Your Content are permanently deleted 30 days after your membership ends, as described in our Privacy Policy. Documents Chai has already saved to your own Google Drive stay in your Drive. We keep billing records held by Stripe as required for tax, accounting, and dispute purposes.

13.4  Sections 2.2, 2.3, 9.5, 10, 11, and 14 through 18 continue to apply after your membership ends.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY CONTENT PRODUCED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT ANY REMINDER, MESSAGE, CALENDAR ENTRY, OR TASK WILL BE CREATED, CHANGED, OR DELIVERED AS INTENDED. YOU USE THE SERVICE AND RELY ON ITS OUTPUT AT YOUR OWN RISK.

15. Limitation of liability

15.1  TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN TOLD SUCH DAMAGES WERE POSSIBLE.

15.2  TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100).

15.3  Some jurisdictions do not allow certain of these exclusions or limits, so some of them may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

16. Disputes

16.1  Talk to us first. If you have a concern, contact support@donatawhite.com. Most issues can be resolved quickly this way, and you agree to try in good faith for 30 days before starting a formal claim.

16.2  Governing law. These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws rules, and by applicable U.S. federal law.

16.3  Arbitration. Except for claims that qualify for small claims court and claims for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Orange County, North Carolina, or remotely. You and we each waive the right to a jury trial and to take part in a class action or class arbitration. You may opt out of this section by emailing support@donatawhite.com within 30 days of first accepting these Terms.

16.4 Time limit. Any claim relating to the Service must be brought within one year after it arises, unless the law requires a longer period.

17. Changes to these Terms

We may update these Terms. If a change is material, we will tell you at least 30 days before it takes effect, by email and in the app. The updated Terms apply from the date they take effect; if you do not agree, you may cancel before then under section 6. Changes to the billing terms in sections 4 through 6 will not apply to a billing period you have already paid for.

18. General

18.1  Entire agreement. These Terms, together with our Privacy Policy and any terms shown at checkout, are the entire agreement between you and us about the Service.

18.2  Assignment. You may not transfer these Terms. We may transfer them in connection with a merger, acquisition, or sale of assets, or to an affiliate, and will tell you if we do.

18.3  Severability and waiver. If any part of these Terms is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of our right to do so later.

18.4  Notices. We may send notices to the email address on your account. You may send notices to support@donatawhite.com.

18.5  Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of the third-party services in section 11.

18.6  Affiliates. Some people who recommend Chai are affiliates who may receive a commission when you subscribe through their link. This does not change your price.

18.7 Indemnification. You agree to indemnify and hold harmless Coffee Date Media, LLC and its owners, employees, and contractors from any claims, losses, and reasonable legal fees arising from your misuse of the Service, content you provide, or your violation of these Terms or of anyone else's rights.

18.8 Electronic communications. You agree that we may send notices, receipts, and other communications to you electronically, by email or in the Service, and that they satisfy any requirement that such communications be in writing. Checking the box at checkout or otherwise clicking to accept these Terms is your electronic signature and has the same effect as a handwritten one.
